BUSINESS IN LAOS
QUICK ANSWER
Every change starts with the same three items:
| Legal form | Decision document |
|---|---|
| Individual enterprise | Owner’s written decision, where an outside manager is hired |
| Partnership | Partners’ meeting decision |
| Company limited or public company | Shareholders’ meeting resolution |
| Sole company limited | Shareholder’s written decision, where an outside manager is hired |
| State enterprise | Certificate under finance sector rules |
If a signatory cannot attend in person, add a power of attorney with the representative’s ID or family book, or passport for foreigners. Where a shareholder or partner is a legal entity, the signatory must be its manager, director or a person it has authorized in writing.
| What is changing | Additional requirement |
|---|---|
| Manager, director, owner or shareholder | Copy of the new person’s ID or family book, or a valid passport for foreigners |
| Share transfer or changed shareholding | Transfer agreement certified by the court registry sector. A new shareholder joining through a capital increase instead signs the meeting decision or resolution. |
| New corporate shareholder | Copy of its registration certificate or proof of legal personality, and its list of shareholders |
| Inheritance | Inheritance certification from the court registry sector |
| Removing a shareholder who has not paid for shares | Written confirmation of non-payment, certified by the court registry sector (Enterprise Law, Article 102) |
| Reducing registered capital | Evidence of public notice at least 3 times, in a newspaper or on the National Enterprise Database website |
| Merger or split | Evidence of public notice at least once |
| Individual enterprise or partnership converting to a company | New-registration documents, plus a declaration from the owner or manager that debts have been properly settled |
| Public company converting to another form | Notice from the securities commission office or the Lao Securities Exchange, depending on the reason |
| Change of name or nationality | Lao citizens: family book, ID or home-affairs certificate. Foreigners: passport, nationality certificate, or consulate or embassy certificate. Companies: registration certificate or name-change document. |
This matters most when ownership changes. A buyer who takes over shares also takes on a company with its existing history, so review its filings first. Our corporate health check is designed for that kind of review.
